Register a limited liability partnership in British Columbia
A complete, fixed-fee package for people who want their partnership structured properly, with advice on how best to use the LLP.
A flow-through structure with limited liability
If you reside outside of Canada and are thinking of registering a limited liability partnership in Canada, this package is designed for you. British Columbia is an excellent choice for a flow-through structure because it offers strong limited liability protection, and in BC any type of business can use an LLP. In most other provinces, LLPs are limited to regulated professions such as law and accounting.
For LLPs whose partners are outside Canada, there is often no Canadian tax payable where the business operates entirely outside Canada, and compliance is simpler than many foreign alternatives. Your tax adviser should confirm how this applies to you. [TO CONFIRM: tax wording reviewed by firm]
Fixed fee for a standard registration.
- A registered British Columbia LLP
- Legal advice on forming and using your BC LLP
- Choice of partnership structures designed to suit your needs
- Complete records book: stamped registration statement, standard partnership agreement, register of partners and organizational resolutions
- Optional name knock-out search across Canada
- Email confirmation once the stamped registration statement is received

Five steps to registering your BC LLP
Choose a proposed name
A name reservation is needed first. Expect about six to eight business days for the BC examination; approvals are valid for 56 days. You can submit up to three names in order of preference. A three-part name works best: distinctive element, descriptive element and legal ending, such as Smith Enterprises LLP.
Identify the partners
An LLP needs two or more partners, usually corporations, which may be new or existing. We need the full legal name and street address of the directors of each corporate partner. BC LLPs do not require Canadian-resident directors.
Decide the partnership structure
Who the partners are, their share of profits, the capital each contributes and the cash flows each receives. We help you choose what suits your circumstances.
Set the registered office
The LLP needs a street address in British Columbia (no PO boxes). We can act as registered office for $295 a year, plus applicable taxes and government filing fees.
Give us the go-ahead
Confirm you want to proceed. The easiest way is to complete and send us the BC LLP instructions form.

Getting a named BC LLP registered usually takes three to five weeks once we receive complete instructions.
